The practical problem
Stopping sales, dissolving the LLC and cancelling its certificate of formation are different milestones. Delaware Code section 18-203 places the voluntary certificate of cancellation after dissolution and completion of winding up. The Division's domestic template asks for the exact LLC name, formation filing date and an authorised person's signature, but those short fields do not prove the underlying work is complete. The instructions also require state taxes through the effective cancellation date to be paid before filing. A no-revenue LLC can still have filing dependencies, subscriptions, receivables or claims. Build an evidence checklist rather than treating an empty business bank account as closure.

1. Confirm the entity and the decision authority
Retrieve the formation record and current state particulars. Confirm this is a Delaware domestic LLC, not a corporation or an LLC merely qualified in Delaware. Read the operating agreement's dissolution and approval provisions; record the decision and who is authorised to sign. If members disagree, do not substitute a form signature for legal advice. Registered series or an unusual effective-date request need a specific review rather than an unmodified basic template.
2. Build a wind-up ledger before preparing cancellation
List each contract, creditor, customer refund, receivable, asset and contingent claim. Give each row an owner, evidence reference and unresolved question. Separately list bank and payment accounts, licences and other-state registrations. Ask the appropriate professional how claims and distributions should be handled; the corporate filing service does not perform this work. Do not mark winding up complete solely because ordinary trading stopped.
3. Resolve the state-tax filing dependency
The Division's instructions say to contact its Franchise Tax Section before submission to determine annual taxes due through the effective date. Record the confirmation and payment evidence. Distinguish this state filing prerequisite from federal or home-country final reporting. Ask a qualified tax adviser about the latter; neither inactivity nor a cancellation filing determines an owner's tax position.
4. Check the certificate and retain actual outcome evidence
Match the legal name and original formation filing date to the record, verify the authorised signer and confirm the current route, charges and any additional statutory particulars. Keep the submission reference separately from the stamped Filed copy. Check the filed effective date, especially if a later date was specified, and the state record before marking the corporate step complete. Keep other-state and account tasks open until their own evidence arrives.
Hypothetical example: a no-revenue LLC with a refund due
An overseas owner stops a Delaware software project and sees no cash in its bank account, but a vendor still owes the LLC a refund and a payment processor holds a reserve. Those are unresolved wind-up items, not proof that cancellation is ready. The owner records who will resolve them, obtains appropriate advice and keeps the cancellation task pending. This illustrates preparation only; it is not an eligibility determination or a promised outcome.

Is Delaware LLC cancellation the same as dissolution?
No. For the voluntary route described in section 18-203, cancellation follows dissolution and completion of winding up. The certificate cancels the formation record; it is not the work of collecting assets, resolving claims or determining final tax reporting.
Who signs the domestic LLC certificate?
The Division's instructions require an authorised person under section 18-204, with the name printed or typed beneath the signature. Confirm authority under the LLC's governing documents and facts; being the person who originally ordered formation does not by itself establish current authority.
What does Delaware send back?
The official template instructions describe a stamped Filed copy and a separately chargeable certified copy if requested. Check the actual effective date and any receiving authority's evidence requirements. Do not order certification merely because a filing receipt looks informal.
Does this also close the IRS account or another state's registration?
