Frequently asked questions
When is the BVI annual government fee due?
The BVI annual government fee is due on the anniversary of incorporation. Missing the deadline results in a penalty surcharge and eventually the company being struck off the register.
What is the BOSS system?
BOSS (Beneficial Ownership Secure Search System) is the BVI's centralised register of beneficial owners. BVI companies must keep it updated with any ownership changes. It is accessible to law enforcement but not public.
Do I need a BVI registered agent?
Yes. All BVI Business Companies must maintain a registered agent in the BVI at all times. The registered agent files annual returns and is the point of contact for the BVI Registry.
What happens if my BVI company is struck off?
A struck-off company can generally be restored within 10 years for a reinstatement fee plus penalties. After 10 years, the company is dissolved and assets may vest in the BVI Crown. We monitor deadlines to prevent this.
