Frequently asked questions

When is the Singapore annual return due?

The Annual Return must be filed within 5 months of the financial year end for listed companies, or 7 months for non-listed (private) companies. First AR is due within 18 months of incorporation.

What is the AGM requirement?

Private companies (Pte Ltd) must hold an AGM or pass a written resolution in lieu of an AGM to approve annual accounts. Small private companies can be exempted from audit.

What happens if I miss the deadline?

ACRA imposes late filing penalties (currently S$300 for late submission plus possible prosecution for persistent non-compliance). We monitor your deadlines and alert you well in advance.

Do I need a local company secretary?

Yes. Singapore law requires all companies to appoint a company secretary within 6 months of incorporation. The secretary must be a Singapore resident. We offer company secretarial services as an add-on.
